Terms of Service

These Terms of Service ("Terms") govern your use of the services provided by Parity Ventures LLC, a Missouri limited liability company doing business as TopRatedCrew ("TopRatedCrew," "we," "us"). By purchasing or using our services, you agree to these Terms.

1. What we provide

TopRatedCrew provides marketing and customer-follow-up services for home service businesses. The monthly subscription includes setup, configuration, and ongoing operation of: missed-call text-back, automated review requests, a unified messaging inbox, an online booking calendar, a business website built from our template, and mobile app access. The specific configuration is agreed with you during onboarding.

We are a marketing and automation service. We do not perform, dispatch, supervise, or guarantee any home service work, and we are not a party to any agreement between you and your customers.

2. Fees and billing

• The subscription price is $297 USD per month, billed automatically in advance on the same day each month, beginning on the date your account is activated.
• An optional three-month prepayment of $797 USD is available in place of monthly billing.
• There is no setup fee and no minimum term. The subscription renews automatically until cancelled.
• Payments are processed by our third-party payment processor. By subscribing, you authorize recurring charges to the payment method you provide.
• If a payment fails, we may retry the charge and may suspend the services until payment is resolved.
• We may change the price with at least 30 days' written notice before it takes effect on your account.

Normal messaging volume (text and email) is included under fair use. If your usage is substantially beyond typical volume for a business of your size, we will contact you before charging anything additional.

3. Cancellation and refunds

You may cancel at any time. Cancellation and refund terms are set out in our Cancellation & Refund Policy, which forms part of these Terms.

4. Your responsibilities

• Provide accurate business information and the access we need to configure the services (for example, your Google Business Profile and phone number).
• Ensure that all messages sent on your behalf comply with applicable law, including consent requirements under the Telephone Consumer Protection Act (TCPA), CAN-SPAM, and carrier rules for business messaging. You are the sender of record for messages sent from your number.
• Do not use the services to send unlawful, misleading, or harassing content, or to solicit fake or incentivized reviews. Review requests must be sent to real customers for real completed work.
• Keep your account credentials secure and tell us promptly about unauthorized use.

5. Third-party platforms

Our services are delivered on top of third-party platforms, including our CRM and automation provider, telecommunications carriers, and Google. Their availability, policies, and pricing are outside our control, and changes they make may affect the services. We will make reasonable efforts to maintain equivalent functionality.

6. Intellectual property

You retain ownership of your business name, logo, content, and customer data. You grant us a limited licence to use them solely to provide the services. We retain ownership of our templates, workflows, configurations, and the TopRatedCrew brand. Websites and assets we build for you remain licensed to you for as long as your subscription is active; on cancellation we will provide a reasonable export of your customer data on request.

7. No guarantee of results

We do not guarantee any specific number of leads, bookings, reviews, ranking positions, or revenue. Results depend on factors outside our control, including your market, pricing, response time, and the quality of your work.

8. Limitation of liability

To the maximum extent permitted by law, our total liability arising out of or relating to the services is limited to the amount you paid us in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business, or lost data.

9. Termination by us

We may suspend or terminate the services if you breach these Terms, if payment is not resolved after failed attempts, or if continuing would expose us to legal or platform risk. Where we terminate without cause, we will refund any prepaid, unused portion of your subscription.

10. Governing law

These Terms are governed by the laws of the State of Missouri, without regard to its conflict of laws rules. The exclusive venue for any dispute is the state or federal courts located in St. Louis, Missouri.

11. Changes to these Terms

We may update these Terms. If a change materially affects your rights, we will give notice by email at least 30 days before it takes effect. Continued use after that date constitutes acceptance.
